PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE LEFTOVER LOVE VOLUNTEER OR ADMIN PORTALS. BY ACCESSING OR USING THE PORTAL, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE PORTAL.

1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Leftover Love, Inc., a 501(c)(3) nonprofit organization ("Leftover Love," "we," "our," or "us"), governing your access to and use of the Leftover Love Volunteer Portal and Admin Portal (collectively, the "Portal").

By creating an account, logging in, or otherwise using the Portal, you represent that: (a) you have read and understood these Terms; (b) you are at least 18 years of age; (c) you have the legal authority to enter into this agreement; and (d) all information you provide is accurate, current, and complete. These Terms should be read alongside our Privacy Policy, which is incorporated herein by reference.

2. Account Eligibility, Security, and Access

2.1 Eligibility

Access to the Portal is restricted to approved volunteers who have completed the Leftover Love onboarding process and been granted access by an administrator, and authorized administrators designated by Leftover Love. We reserve the right, in our sole discretion, to approve, deny, suspend, or revoke portal access at any time, including for conduct inconsistent with these Terms, organizational policies, or safety protocols.

2.2 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials (including your Google account, if used for Google Sign-In, or your email/password combination). You agree to keep your credentials secure, to notify us immediately at info@leftoverloveinc.org if you suspect unauthorized access, and to log out after each session, particularly on shared devices. Leftover Love is not liable for any loss or damage arising from your failure to maintain the confidentiality of your credentials.

2.3 Account Accuracy

You must provide accurate, current, and complete information during onboarding and must update your profile promptly if your information changes. Inaccurate location, vehicle, or availability information may result in unsafe or failed food rescue assignments.

3. Volunteer Conduct and Responsibilities

3.1 Permitted Use

The Portal, and all information accessible within it (including donor and recipient addresses, contact details, and trip data), is provided exclusively for the purpose of coordinating authorized Leftover Love food rescue and delivery activities. Any other use is strictly prohibited.

3.2 Prohibited Conduct

You agree not to misuse the Portal, including by:

  • Using donor, recipient, or volunteer information for any purpose other than completing an assigned food rescue trip
  • Sharing, selling, disclosing, or transmitting Portal data to third parties not affiliated with Leftover Love
  • Using the Portal to engage in unlawful, harmful, or abusive activity
  • Attempting to access areas of the Portal without permission
  • Reverse-engineering, decompiling, scraping, or extracting data from the Portal by automated means
  • Impersonating another user, administrator, or Leftover Love representative
  • Uploading content that violates the privacy, dignity, or rights of any individual

3.3 Physical Activity and Food Handling

Food rescue activities may involve physical labor, including lifting, carrying, and transporting food donations. Volunteers are responsible for ensuring they are physically capable of performing assigned tasks, handling food in compliance with applicable food safety guidelines, operating vehicles in compliance with traffic laws and insurance requirements, and reporting any food safety concerns or incidents promptly.

4. Good Samaritan Act — Donor and Volunteer Protections

Leftover Love operates in compliance with the Bill Emerson Good Samaritan Food Donation Act (42 U.S.C. § 1791). The Act provides federal liability protection to nonprofit organizations, donors, and volunteers who donate or distribute food in good faith, subject to certain limitations. Volunteers must handle donations with reasonable care and in compliance with applicable food safety standards. This protection does not extend to acts of gross negligence, recklessness, or intentional misconduct.

5. Assumption of Risk and Release of Liability

5.1 Assumption of Risk

Volunteer activities involve inherent risks, including but not limited to physical injury, vehicle accidents, slips, trips, and falls, exposure to allergens or hazardous materials, and risks associated with entering unfamiliar locations. By participating as a volunteer and using the Portal to receive trip assignments, you expressly acknowledge and assume all such risks.

5.2 Release of Liability

To the fullest extent permitted by applicable law, you release and discharge Leftover Love, Inc. and its officers, directors, employees, administrators, agents, and fellow volunteers from any and all liability, claims, or causes of action arising out of or related to your participation in food rescue or delivery activities or your use of the Portal, except to the extent caused by Leftover Love's gross negligence or willful misconduct.

5.3 Independent Contractor / Volunteer Status

Volunteers are not employees, agents, or contractors of Leftover Love. Nothing in these Terms creates an employment relationship. Volunteers are independent participants and are responsible for maintaining their own insurance coverage, including vehicle insurance where applicable.

6. Reimbursement Policy

Eligible volunteers may submit reimbursement requests for approved expenses (such as mileage) through the Portal. All requests are subject to review and approval by administrators, and record retention and compensation limitations apply as described in the full policy text.

7. Intellectual Property

The Portal and all related design, interface, code, branding, logos, and proprietary software are the exclusive property of Leftover Love, Inc. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

By uploading photos, videos, gallery images, or blog content, you grant Leftover Love a non-exclusive, royalty-free, worldwide, sublicensable license to use that content in impact reports, social media, promotional materials, and grant applications while it remains on the Portal. You retain ownership of your content.

8. Limitation of Liability and Disclaimer of Warranties

The Portal and all content are provided "as is" and "as available" without warranties of any kind. Leftover Love does not warrant that the Portal will be uninterrupted, error-free, or free of harmful components. To the fullest extent permitted by law, Leftover Love is not liable for indirect, incidental, special, consequential, or punitive damages arising out of or related to these Terms or your use of the Portal. Our total aggregate liability to you will not exceed one hundred dollars (US $100.00).

9. Indemnification

You agree to defend, indemnify, and hold harmless Leftover Love, Inc. and its officers, directors, employees, administrators, and agents from and against any claims, damages, losses, or expenses arising out of or relating to your use of the Portal, your violation of these Terms or applicable law, or any User Content you upload.

10. Termination and Suspension

We may suspend or terminate your account and access to the Portal at any time, with or without notice, for conduct that we determine violates these Terms or poses safety or security risks. You may request deactivation of your account at any time by contacting info@leftoverloveinc.org. Upon termination, your right to access the Portal ceases immediately, but certain provisions of these Terms survive as described in the full policy text.

11. Dispute Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve disputes informally by contacting us. If a dispute cannot be resolved informally, you and Leftover Love agree to resolve it through final and binding arbitration (with limited exceptions such as small claims actions and emergency injunctive relief), and to a class action waiver, as described in detail in the full Terms.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Maryland, without regard to conflict of law principles. For matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Baltimore City, Maryland.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes in our operations, legal requirements, or for other reasons. We will notify registered users of material changes by email and/or by posting a notice within the Portal. The updated Terms will be effective as of the date noted at the top of this page. Your continued use of the Portal after the effective date constitutes your acceptance of the revised Terms.

14. General Provisions

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Leftover Love regarding use of the Portal. If any provision is found invalid, the remaining provisions remain in full force. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms; Leftover Love may assign them in connection with a merger, reorganization, or transfer of assets. We are not liable for delays or failures to perform due to events outside our reasonable control.
